Titan Law PLLC – Operations, Case Management & Attorney Facilitation Agreement

(“Agreement”)

This Agreement sets forth the terms and conditions under which Titan Law PLLC (“Titan”) will provide non-legal, administrative, operational, and attorney-facilitation services to you (“Client,” “you,” or “your”). Titan is a technology-enabled operations and case-management platform. Titan is not a law firm and does not provide legal advice or legal representation. Any legal services you receive will be provided exclusively by an independent licensed attorney (“Partner Attorney”) through a separate Attorney-Client Agreement.

By signing this Agreement, submitting payment, or otherwise using Titan’s services, you acknowledge that you have read this Agreement in full, understand it, and agree to be legally bound by all terms, conditions, obligations, and disclaimers set forth herein.


1. Titan Is Not a Law Firm

You understand and agree that Titan:

Does not provide legal advice or guidance;

Does not offer legal representation in any jurisdiction;

Does not supervise, monitor, or control the professional judgment of any Partner Attorney;

Does not create or participate in any attorney-client relationship;

Does not influence or direct legal strategy, case decisions, or legal analysis;

Does not guarantee or warrant any outcome in your legal matter.

All legal services—including but not limited to legal advice, filings, advocacy, court representation, and substantive legal communications—are exclusively performed by a Partner Attorney under a separate Attorney-Client Agreement that you will enter into directly with the attorney.


2. Scope of Titan’s Services

Titan’s role is strictly limited to administrative, operational, and facilitative support. Titan provides the following services:

Matching you with an independently licensed Partner Attorney appropriate for your legal matter;

Facilitating attorney onboarding and initial case intake processes;

Providing administrative and logistical case-management support;

Coordinating document transfer, secure communications, and workflow management;

Maintaining a technology platform for case organization and communication;

Processing payments, billing, and financial transactions related to legal services;

Providing optional financing solutions for payment of attorney fees;

Offering ongoing client-support, operations, and account-management services.

No part of Titan’s services constitutes the practice of law. Titan does not interpret laws, apply legal standards, or provide any advice relating to your legal rights or obligations.


3. Non-Refundable Attorney Partnership Retainer

To begin the attorney-matching process and gain access to Partner Attorney services, you agree to pay a non-refundable Attorney Partnership Retainer in the amount of:

Attorney Partnership Retainer: $X (non-refundable)

This retainer:

Confirms your engagement with Titan for facilitation and administrative services;

Is earned upon receipt and is non-refundable under all circumstances, including but not limited to case withdrawal, dissatisfaction, or attorney termination;

Is applied toward the total attorney fees established in the Partner Attorney’s separate agreement;

Is collected by Titan and transferred to the Partner Attorney minus Titan’s agreed-upon platform, operations, management, technology, and marketing fees;

Is not a legal retainer and is not held in trust or IOLTA.

Partner Attorneys Have Pre-Agreed to Accept These Funds

All Partner Attorneys on the Titan platform have expressly agreed in advance that this Attorney Partnership Retainer will serve as the initial payment and case-funding allocation for your legal representation.


4. Attorney Fees (Set Exclusively by Partner Attorneys)

Partner Attorneys independently establish and control their own hourly rates for legal services. The following standard rates apply unless otherwise specified in the Attorney-Client Agreement:

Managing Attorney $650/hr

These rates:

Are determined solely by the Partner Attorney and may change in accordance with their professional judgment;

Are billed for legal work performed on your matter and do not include Titan’s operational or platform fees;

Are paid directly to the Partner Attorney, with Titan retaining administrative fees only.


5. Payment Processing and Billing Authorization

You authorize Titan to act as the billing and payment-processing agent for Partner Attorneys. This includes authorization for Titan to:

Charge your payment method for the Attorney Partnership Retainer;

Process all payments related to attorney fees, court fees, or approved legal expenses;

Transfer attorney fees to the Partner Attorney (minus Titan’s fees);

Collect Titan’s own platform, administrative, and operational fees;

Process installment or financing payments when applicable.

Titan’s payment processing does not constitute the provision of legal services.


6. Financing Terms (Optional)

If you elect to finance legal fees through Titan or a financing partner:

You will receive a separate financing schedule detailing the repayment structure, interest rate, installment dates, and total cost of financing;

Financing relates solely to payment assistance, not legal representation;

You may prepay the financed amount at any time without penalty;

Failure to make timely payments may result in the account being referred to third-party collection agencies.

Your financing obligations remain valid even if your case ends, the attorney-client relationship is terminated, or legal work is completed.


7. Titan Not Responsible for Attorney Work

Titan is not responsible for, and expressly disclaims liability for:

Any legal decisions made by the Partner Attorney;

The strategic direction or legal approach taken in your case;

The accuracy, completeness, or timeliness of attorney work;

Missed deadlines, filings, hearings, or communications by the attorney;

Any errors, negligence, or malpractice committed by the attorney;

The outcome of your legal matter.

All legal questions, concerns, and discussions must be directed solely to the Partner Attorney. Titan cannot answer legal questions or intervene in legal strategy.


8. Chargeback Policy

You agree that:

You will not initiate a chargeback without first notifying Titan and allowing Titan a reasonable opportunity to resolve the issue;

Any improper, unjustified, or fraudulent chargeback may result in:

Immediate suspension or termination of Titan’s services,

Additional fees,

Collection activity,

Potential legal action for recovery of funds.


9. Termination of Agreement

Either you or Titan may terminate this Agreement at any time by providing written notice.

Termination does not:

Cancel or refund the non-refundable Attorney Partnership Retainer;

Eliminate responsibility for attorney fees already incurred and earned;

Eliminate Titan’s right to collect platform or operational fees;

Cancel any outstanding financed balance or payment obligations.

Termination also does not alter any separate agreement you have with a Partner Attorney.


10. Dispute Resolution for Titan’s Services

Any dispute arising solely from Titan’s non-legal services shall be resolved through binding arbitration, administered by the American Arbitration Association (AAA), located in Hillsborough County, Florida.

Class Action Waiver

All claims must be brought on an individual basis.
You waive any right to participate in a class, collective, mass, or representative action.

This section does not govern disputes between you and the Partner Attorney relating to the legal services provided.


11. No Legal Advice & No Privilege

You acknowledge and agree that:

Titan does not and cannot provide legal advice under any circumstances;

Communications between you and Titan are not protected by attorney-client privilege;

Only your Partner Attorney can provide legal advice or representation;

Any legal information you receive must be confirmed directly with the Partner Attorney.


12. Governing Law

This Agreement shall be governed and interpreted exclusively under the laws of the State of Florida.

Any court proceedings permitted under this Agreement must occur in the state or federal courts located in Hillsborough County, Florida.


13. Entire Agreement

This Agreement constitutes the entire understanding between you and Titan regarding its administrative, facilitation, and operational services. It supersedes all prior discussions, offers, or understandings of any kind.

No amendment or modification is valid unless made in writing and signed by both parties.


Signature & Acknowledgment

By signing below, submitting payment, or otherwise using Titan’s services, you acknowledge and agree that:

Titan is not a law firm and does not provide legal advice;

The Attorney Partnership Retainer is non-refundable and is earned upon receipt;

Partner Attorneys have pre-agreed to accept this retainer as initial case funding;

You understand and accept all attorney fee rates;

Titan charges only operational, management, and platform fees—not legal fees;

Titan is authorized to process payments on behalf of Partner Attorneys;

You have read, understand, and agree to all terms in this Agreement.
